Terms of Service

1. Acceptance of Terms

By accessing or using CalSyncPro (“Service”), operated by C-ICAS Sp. z o.o. (“Company”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

CalSyncPro is a calendar synchronization platform that connects Microsoft 365 calendars and Google Calendar. The Service allows users to create sync pairs that automatically synchronize calendar events between accounts using Microsoft Graph API and Google Calendar API. Events are synchronized as zero-knowledge free/busy blocks — no event content (titles, descriptions, attendees) is transferred unless you explicitly configure full-content sync.

3. Eligibility

You must: (a) be at least 18 years old or have authority to bind a business entity; (b) have a valid Microsoft 365 or Google account with appropriate permissions; (c) comply with all applicable laws in your jurisdiction.

4. Account and Security

Authentication is handled exclusively through Microsoft Azure AD or Google OAuth 2.0. You are responsible for maintaining the security of your Microsoft and Google account credentials. Notify us immediately of any unauthorized use at security@calsyncpro.com.

5. Subscription and Payment

  • Subscriptions are billed monthly or annually in advance.
  • All prices are in EUR and exclusive of applicable VAT.
  • Payment is processed by Stripe. We do not store card data.
  • Refunds are provided within 14 days of initial purchase for paid plans.
  • Downgrade or cancellation takes effect at the end of the billing period.

6. Acceptable Use

You must not:

  • Use the Service to violate any law or third-party rights;
  • Attempt to gain unauthorized access to any systems;
  • Use the Service to process data of calendars you do not own or lack authorization to access;
  • Reverse-engineer or attempt to extract source code;
  • Resell or redistribute the Service without written consent;
  • Use Google Calendar data accessed through the Service for any purpose other than calendar synchronization as described in these Terms.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy. We process calendar data (including Microsoft 365 and Google Calendar data) on your behalf as a Data Processor under GDPR. You remain the Data Controller for your users' calendar data. Our use of Google Calendar data adheres to the Google API Services User Data Policy, including the Limited Use requirements.

8. Service Availability and SLA

  • Standard plan: Best-effort availability, no SLA guarantee.
  • Plus plan: Target 99% monthly uptime.
  • Business plan: Target 99.5% monthly uptime.
  • Ultimate plan: 99.9% monthly uptime SLA with service credits.

Service credits are the sole remedy for SLA breaches.

9. Intellectual Property

CalSyncPro and its technology are owned by C-ICAS Sp. z o.o. We grant you a limited, non-exclusive, non-transferable license to use the Service per these Terms. You retain ownership of your data. The Service is not affiliated with, endorsed by, or sponsored by Microsoft Corporation or Google LLC.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability shall not exceed the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of data or calendar events due to third-party API changes (Microsoft Graph, Google Calendar API) outside our control.

11. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account for breach of these Terms. Upon termination: access is revoked immediately, Google OAuth tokens are revoked, and your data will be deleted within 30 days per our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Poland. Disputes shall be resolved by the competent courts of Poland. EU consumers retain the right to access consumer protection laws of their country of residence and may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13. Changes to Terms

We may modify these Terms with 30 days' notice via email. Continued use after the effective date constitutes acceptance. If you disagree, you may terminate your account before the changes take effect.
